These Terms of Service (“Terms”) govern access to and use of mingsilk.com and transactions arranged through or in connection with the website.

MingSilk is the international website operated by Huzhou Xinzhaofeng Silk Technology Co., Ltd. (湖州欣兆沣丝绸科技有限公司), located at No. 189 Yingbin South Road, Chongzhao, Hefu Town, Nanxun District, Huzhou, Zhejiang 313017, China.

By accessing or using the website, requesting samples or quotations, submitting a fabric request, or entering into a transaction with us, you agree to these Terms to the extent permitted by applicable law.

1. Business purpose of the website

MingSilk primarily serves designers, fashion brands, studios, sourcing teams, wholesalers, manufacturers and other professional or business customers seeking silk fabrics, swatches, sampling, development and bulk production.

Bulk fabric pages are primarily intended for product discovery, sourcing, sampling and quotation. Unless expressly stated otherwise, publication of a bulk fabric on the website does not constitute a binding offer to sell at a fixed public price.

Certain products or services, such as swatches, sample sets or other specifically identified items, may be offered for direct online purchase at a displayed price.

2. Product information and visual representation

We make reasonable efforts to describe fabrics accurately, including composition, construction, weight, width, finish, colour, transparency, drape, hand feel and intended applications where applicable.

Photographs are intended to represent the relevant physical fabric as accurately as reasonably practicable. However, colour and appearance may vary because of lighting conditions, display settings, photography, material transparency, viewing angle and differences between production or dye lots.

For bulk production, the mutually approved sample, lab dip, strike-off, quality reference, specification, quotation, pro forma invoice, sales contract or other written confirmation will take priority over general website imagery or descriptive content where there is a conflict.

Reasonable manufacturing and textile tolerances may apply to colour, weight, width, texture, shrinkage, construction and other characteristics. Any special tolerance or performance requirement should be agreed in writing before production.

3. Enquiries, quotations and order formation

Submitting an enquiry, fabric request, sample request, project shortlist or quotation request does not by itself create a binding sales contract.

Bulk fabric pricing, minimum order quantities, sample requirements, colour development, production lead times, payment terms, shipping terms and other commercial conditions may vary according to product, quantity, colour, finish, destination and project requirements.

A bulk transaction may be documented through one or more of the following:

  • quotation;
  • pro forma invoice (PI);
  • sales contract;
  • purchase order confirmation;
  • approved specification or sample;
  • email or other written confirmation accepted by both parties.

Where transaction-specific written terms differ from these website Terms, the mutually agreed transaction-specific terms will take priority to the extent permitted by applicable law.

An order is not binding on MingSilk until it has been accepted or confirmed by us in writing and any required deposit, payment, sample approval or other agreed condition has been satisfied.

4. Pricing, currency, taxes and duties

Bulk fabric prices are normally provided by quotation rather than displayed as fixed public prices on the website.

Swatches, samples or other directly purchasable products may display fixed prices on the website.

The applicable currency will be stated in the website checkout, quotation, PI, invoice or other transaction document.

Unless expressly stated otherwise, prices do not include international freight, insurance, import duties, customs charges, destination taxes or other third-party charges.

The customer is responsible for taxes, duties, customs clearance and import requirements at the destination unless a different arrangement is expressly agreed in writing.

5. Swatches and samples

Swatches and samples are provided to help customers evaluate colour, hand feel, construction, weight, transparency, texture and other material characteristics before bulk production.

A swatch or sample may be subject to a sample charge. Where confirmed in the relevant quotation or written sales arrangement, the sample charge may be credited toward a subsequent qualifying bulk fabric order.

International courier charges, customs duties, import taxes and other third-party logistics costs for swatches and samples are normally paid by the customer and are not credited toward a bulk order unless otherwise agreed in writing.

A sample charge is not automatically refundable solely because the customer later decides not to proceed with a bulk order.

Because textile production can involve normal lot-to-lot variation, a sample should be treated as a sourcing and approval reference. Any critical colour, construction or performance requirement for bulk production should be confirmed in writing.

6. Custom development and made-to-order production

Custom development may include custom dyeing, colour matching, printing, weaving, jacquard development, special finishing, construction changes or other customer-specific production.

Customers are responsible for providing accurate specifications, artwork, colour references, performance requirements and other necessary technical information.

Where approval of a lab dip, strike-off, sample, artwork, specification or other reference is required, production may not begin until the relevant approval or other agreed condition has been received.

After custom or made-to-order production has commenced, cancellation, return or exchange for non-quality reasons is not normally available.

Any cancellation requested after development, material preparation or production has begun may be subject to costs already incurred, subject to the transaction-specific written agreement and applicable law.

7. Production and lead times

Sample and bulk production lead times shown on the website or provided during an enquiry are estimates unless expressly guaranteed in writing.

Lead times may depend on yarn or greige availability, dyeing, printing, weaving, finishing, testing, sample approval, order quantity, production capacity, holidays, logistics and other project requirements.

A production schedule should be treated as confirmed only when stated in the relevant quotation, PI, sales contract or other written confirmation.

8. Shipping, delivery and trade terms

Shipping method, freight responsibility, insurance, delivery point, customs responsibility and transfer of risk will be determined by the applicable quotation, PI, sales contract, agreed Incoterm or other written arrangement.

Where an Incoterm is used, the version and named place should be stated in the transaction documents.

Estimated shipping or delivery dates are not guarantees unless expressly agreed otherwise in writing.

MingSilk is not responsible for delays caused by customs authorities, carriers, port congestion, weather, government action, force majeure events or other circumstances outside our reasonable control, except where liability cannot legally be excluded.

9. Inspection, quality claims, returns and refunds

Customers should inspect fabrics promptly after delivery and before cutting, washing, dyeing, printing, garment production or other processing.

Visible defects, shortages, incorrect goods or other reasonably detectable non-conformities should be reported within seven (7) business days after delivery.

Latent manufacturing defects that could not reasonably have been identified during normal incoming inspection should be reported within thirty (30) calendar days after delivery and promptly after discovery.

Detailed procedures concerning cut fabrics, custom products, quality remedies, returns, samples, shipping costs and refunds are set out in our Refund Policy, which forms part of these Terms.

10. Customer-provided materials and intellectual property

Customers must have the necessary rights or permissions to provide and authorize the use of any artwork, design, pattern, logo, trademark, technical specification, photograph or other material supplied to MingSilk for development or production.

The customer is responsible for claims arising from customer-provided materials that infringe the intellectual property rights of a third party, except to the extent caused by MingSilk's own unauthorized conduct.

Website text, original photography, graphics, design elements and other content created for MingSilk are protected by applicable copyright and other intellectual property laws where such rights apply.

MingSilk is the name used for this international website and related commercial communications. Nothing on this website should be interpreted as a representation that a trademark is registered unless registration is expressly stated.

You may view, link to and share publicly available MingSilk webpages for legitimate sourcing, research, editorial, search or business-reference purposes, provided that the source is accurately represented and the content is not misleadingly altered.

11. Search engines, AI systems and automated access

Legitimate search engines, AI discovery systems, indexing services and other automated systems may access publicly available portions of the website where such access is permitted by our technical directives, including applicable robots, crawler or agent instructions.

Automated access must not circumvent access controls, authentication requirements, CAPTCHAs, rate limits, security systems or other technical restrictions.

Automated systems must not intentionally disrupt the website, impose an unreasonable load on our infrastructure, collect personal information unlawfully, misrepresent MingSilk or use the website for fraudulent, malicious or unlawful purposes.

Permission for automated discovery or indexing does not grant ownership of MingSilk content or waive applicable intellectual property rights.

12. Prohibited uses

You may not use the website or its content:

  • for unlawful, fraudulent or malicious purposes;
  • to infringe the rights of MingSilk or any third party;
  • to transmit malware or interfere with website security;
  • to impersonate another person or business;
  • to collect personal information unlawfully;
  • to misrepresent our products, company, certifications or commercial terms;
  • to bypass technical restrictions or access non-public systems without authorization.

13. Third-party services and Shopify

The website is hosted using Shopify and may use other third-party services for payments, analytics, communications, logistics, translation or other functionality.

Third-party services may be subject to their own terms and privacy policies.

Transactions with MingSilk are transactions with Huzhou Xinzhaofeng Silk Technology Co., Ltd., not with Shopify, except where a separate Shopify service expressly states otherwise.

14. Errors and corrections

We may correct typographical errors, inaccurate technical data, incorrect links, outdated descriptions or other errors on the website.

If an error materially affects an accepted transaction, we will contact the customer and seek an appropriate resolution consistent with the transaction documents and applicable law.

15. Disclaimer and limitation of liability

The website is provided for sourcing, product discovery, communication and transaction support. Except for obligations expressly agreed in a transaction-specific document or rights that cannot legally be excluded, website content is provided on an “as available” basis.

To the maximum extent permitted by applicable law, MingSilk will not be liable for indirect, incidental, special or consequential losses arising solely from use of the website, including loss resulting from reliance on general website information that differs from a mutually agreed transaction specification.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

16. Governing law and dispute resolution

These Terms and transactions governed by them shall be governed by the laws of the People's Republic of China, without prejudice to any mandatory legal rights that cannot lawfully be excluded.

The parties shall first attempt to resolve any dispute through good-faith negotiation.

If a dispute cannot be resolved through negotiation, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Hangzhou, Zhejiang, China, in accordance with the CIETAC Arbitration Rules in effect when the arbitration is commenced.

The language of arbitration shall be English unless the parties agree otherwise.

The arbitral award shall be final and binding on the parties.

To the extent legally effective and unless expressly agreed otherwise in a transaction-specific written agreement, the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

17. Mandatory consumer rights

MingSilk primarily serves business and professional customers. However, nothing in these Terms is intended to exclude or restrict statutory consumer rights that cannot legally be excluded.

If mandatory consumer law applies to a particular transaction, the relevant mandatory provisions will take priority over conflicting provisions of these Terms.

18. Changes to these Terms

We may update these Terms from time to time to reflect changes in our business, website, services, applicable law or operational practices.

The version published on this page will apply from its stated effective or updated date, subject to any transaction-specific terms already agreed with a customer.
